Senior Corporate Counsel Role:
The Senior Corporate Counsel is responsible for contributing to the company's efforts to realize their corporate vision: creating, and enhancing value for all their stakeholders, through energy asset development and supply in North America. The Senior Corporate Counsel is responsible for transactional legal matters of power business, natural gas liquefaction business and new energy development business, and responsible for assisting implementation and maintaining the company’s compliance program to ensure full compliance with applicable federal/state statues, including regulations relating to energy trading business transactions.
Transactional Legal Matters
Review, draft, negotiate, interpret, and provide advice on various types of contracts of power business, natural gas liquefaction business, and new energy development business relating to: o M&A (sales and purchase of interests of partnership, LLC, or joint venture, or creation of such entities, joint development agreement and related contracts, etc.)
o Power business-related contracts (plant operation and maintenance, asset management, energy management, power sales, interconnection, gas procurement, gas transportation, etc.)
o Natural gas liquefaction business-related contracts (tolling agreement, gas/electricity procurement, etc.)
o Derivative contracts (ISDA, etc.)
o Financial contracts (credit agreement, tax equity arrangements, and other related contracts.)
o General contracts (confidentiality agreement, partnership agreement, LLC agreement, parent guarantee, consents/amendments, etc.)
Manage dispute/litigation arising from power business, natural gas liquefaction business, and new energy development business by partnering with outside counsel as approved by the CLO.
Review communications with trade partners involving contractual issues.
Review documents for partners such as Board of Managers materials and written consents.
Monitor and advise management and project teams of legal developments and trends, including changes in the law, regulatory developments, and judicial decisions impacting the company’s business.
Support and assist the CLO in connection with legal matters of the company’s and its affiliates as required
Regulatory Compliance Matters
Assist the CCO and business teams to ensure compliance with governmental and/or other agency regulations relating to energy transactions conducted by the company and its affiliates
involving in the power business and natural gas liquefaction business, both physical and financial, including FERC, CFTC, NERC, EPA, and ISO.
Assist the CCO to develop and administer compliance program, including internal policy development and annual training in coordination with outside counsel relating to FERC, CFTC, and Exchange regulation.
Advise the CCO on compliance issues, risks, and decisions.
Assist the CCO with compliance calendar and to ensure all compliance reporting obligations are met, filings are on time, including the preparation of the necessary filings and report.
Assist the CCO to ensure compliance with regulations on anti-bribery/corruption, anti-money laundering, and trade sanction.
Support and assist the CCO with various compliance-related projects and duties as required
Perform all responsibilities and duties with adequate outside counsel support as approved by the CLO and the CCO.
Senior Corporate Counsel Background Profile:
Juris Doctor from an American Bar Association accredited law school
Minimum of 10 years of legal experience in transactional matters including corporate, commercial, and contracts
Must have legal work experience as an attorney with a recognized U.S. law firm and/or in-house with an energy company in U.S. power involving natural gas procurement and electricity wholesale; renewables a plus
Experience with and a sound understanding of the laws, rules, and regulations that apply to companies operating in the energy sector
Experience with regulatory matters related to FERC, CFTC, NERC, EPA, and ISOs
Experience performing in-house legal counsel work
Experience overseeing litigation
Sound legal and compliance judgment and ability to work independently with minimal supervision
A team player that proactively collaborates with stakeholders across the company while remaining open to cover any legal or compliance needs required by the CLO or the CCO
Ability to build trust and respect across the organization including corporate and business unit management
Self-motivated, results-oriented, with the ability to be responsive and follow through on programs and plans
Inquisitive nature to identify opportunities for improvement and help find solutions
Proficient use of Microsoft Office programs, including Word, Excel, Outlook, and PowerPoint
Qualified and in good standing to practice law in the State of Texas
